This Sales Portal Access Agreement (the “Agreement”) is entered into as of the submission of this form, by and between STW Industries Pty. Ltd. (“Provider”), and the business and named individuals in this form (“Client”). 1. Access to Sales Portal: The Provider agrees to grant the Client access to its sales portal (“Portal”) for the purpose of online purchasing and invoice payment. This access is non-exclusive and non-transferable. 2. User Credentials: The Client will be provided with unique user credentials (username and password) for accessing the Portal for each user. The client is responsible for maintaining the confidentiality of these credentials and is liable for any unauthorised use. The application and website functionality regularly records metadata, including IP addresses, and regularly checks for appropriate account geolocation. 3. Authorized Users: The Client may designate individuals within its organisation as authorised users. Provider reserves the right to limit the number of authorised users and revoke access at its discretion. 4. Use of Portal: The Client agrees to use the Portal in accordance with all applicable laws and regulations. Any misuse or unauthorised access will result in immediate termination of access, and the Provider may pursue any legal remedies. 5. Intellectual Property: The Portal and its contents, including but not limited to products, pricing, design, and data, are the intellectual property of the Provider. Client agrees not to reproduce, distribute, or create derivative works based on the Portal. 6. Term, Suspension or Termination: This Agreement shall commence on the Start Date and continue until terminated by either party with written notice. Either party may terminate this Agreement immediately for a material breach by the other party. The Provider may terminate this agreement with 24 hours’ notice. The Provider may elect to suspend or disable the Client’s account under suspicion of any breach of any terms of this agreement or for any valid reason(s) that the Provider may require the limitation of access to the content of the Portal. 7. Confidentiality: The Client agrees to keep confidential any information obtained through the Portal that is not publicly available. This includes but is not limited to, product pricing and stock availability. 8. Indemnification: The Client agrees to indemnify and hold the Provider harmless from any claims, damages, or liabilities arising from the Client’s use of the Portal. This includes indemnity from any vicarious or liquidated damages related to any losses by the Client. 9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes arising under or in connection with this Agreement shall be resolved in the state of Western Australia. the parties hereto have executed this Sales Portal Access Agreement as of the date of submission of this form.
